Terms of Service

1. Introduction and Acceptance of Terms

Welcome to Vatrelo ("Vatrelo," "the Platform," "we," "us," or "our"), operated by Nissus LLC, a Wyoming limited liability company.

These Terms & Conditions ("Terms") govern your access to and use of the Vatrelo website, platform, and related services (collectively, the "Service").

Vatrelo operates an online marketplace and technology platform that allows independent Creators to offer a paid membership placement ("Membership") on the Creator's public Vatrelo.

By creating an account, purchasing a Membership, purchasing an Add-On Service, becoming a Creator, or otherwise accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Service.

2. Definitions

For purposes of these Terms:

• Platform / Vatrelo - the website, technology, software, marketplace infrastructure, and services operated by Nissus LLC.
• Creator - an independent individual who registers on Vatrelo and operates their own public Vatrelo profile on the Platform.
• Member - an individual who purchases a Membership and whose Member Card appears on a Creator's Vatrelo.
• Membership - the recurring digital service that provides a Member with a Member Card on a Creator's public Vatrelo for the applicable billing period, automatically renewing until cancelled, subject to these Terms.
• Member Card - the avatar and username displayed on a Creator's Vatrelo in connection with a Membership, which, when selected, opens a dropdown containing links to the Member's submitted social media profiles (e.g., Instagram, TikTok, YouTube, X/Twitter, Facebook).
• Boost - an optional recurring Add-On Service, added at checkout together with the Membership for an additional $10 per billing period, that (a) visually distinguishes the Member Card with a different color/styling and (b) allows the Member to post an unlimited number of status updates beneath their Member Card.
• Featured Spot - one of three identical positions displayed above a Creator's main list, each purchasable for a flat $50 fee, held by the purchasing Member for a 12-hour Display Period, and then rotated to the next Member in the purchase queue for that Creator's Vatrelo, as described in Section 11.
• Creator Share - 70% of the purchase price of a Membership, Boost, or Featured Spot purchase, subject to refunds, payment-processing arrangements, reserves, chargebacks, and other applicable adjustments.
• Platform Fee - 30% of the purchase price of a Membership, Boost, or Featured Spot purchase, retained by Vatrelo for providing and operating the Platform, marketplace infrastructure, technology, payment facilitation, hosting, content display, and related services.

3. How the Platform Works

Vatrelo provides an online marketplace and technology platform through which independent Creators may make Memberships available to Members.

Each Creator may establish a public Vatrelo. The price of a standard Membership is $20 per billing period (monthly), unless otherwise stated at checkout.

A Member may purchase a Membership through Vatrelo by paying the applicable price and submitting the information required to create a Member Card, including an avatar, username, and links to the Member's social media profiles.

Once payment is successfully completed, the Member Card is automatically placed on the applicable Creator's Vatrelo and remains displayed for as long as the Membership remains active and in good standing.

The Membership is an automatically fulfilled, recurring digital service. The service is considered delivered for each billing period once the Member Card has been successfully placed and made available on the Creator's Vatrelo for that period.

Vatrelo operates and controls the Platform through which Memberships and Add-On Services are purchased, payments are processed, Member Cards are hosted and displayed, and transactions are administered.

For payment-processing purposes, and to the extent applicable under Stripe's Connect structure and applicable law, Vatrelo acts as the merchant of record for transactions processed through the Platform.

Vatrelo is responsible for collecting payment and allocating the applicable Creator Share and Platform Fee in accordance with these Terms and the applicable payment-processing arrangement.

The Creator Share is an amount allocated to the Creator and is not an amount retained by Vatrelo as its Platform Fee.

Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between Vatrelo and a Creator except to the extent expressly required by applicable law or expressly agreed otherwise in writing.

Creators are independent users of the Platform and are solely responsible for their own activities and obligations as Creators.

4. The Membership Service

The Membership provides the Member with the public display of a Member Card on the applicable Creator's Vatrelo for each billing period during which the membership remains active.

The Membership does not include:

• a reaction from the Creator;
• a response from the Creator;
• a comment from the Creator;
• a repost or Story from the Creator;
• a mention or tag by the Creator;
• an appearance on the Creator's Instagram, TikTok, YouTube, or other social media account;
• direct communication with the Creator;
• an endorsement by the Creator;
• a guarantee that the Creator will view the Member Card or any linked profile;
• a guarantee of any particular number of profile visits, followers, or other engagement resulting from the Member Card; or
• any other promotional activity by the Creator.

Creators may voluntarily view, react to, comment on, share, screen-record, or otherwise promote Member Cards (including through their own social media Stories or posts) at their sole discretion.

Any such activity is separate from the Membership service and is not a guaranteed part of the purchase.

The Member acknowledges that the Membership is not a lottery, sweepstakes, contest, random drawing, chance-based promotion, or purchase of an opportunity to be selected by a Creator.

The Member is purchasing an actual and defined digital service: recurring placement of the Member's Card on the Creator's public Vatrelo.

5. Public Nature of the Creator's Vatrelo

The Creator's Vatrelo is public.

By purchasing a Membership, the Member expressly understands and agrees that the Member Card, including the Member's avatar, username, and linked social profiles, will be publicly displayed on the Creator's Vatrelo.

Public display is an essential and fundamental characteristic of the Service.

The Member understands that a publicly displayed Member Card may:

• be viewed by the Creator;
• be viewed by other users and members of the public who visit the Creator's Vatrelo;
• be shared or reposted by the Creator;
• be shared or reposted by Vatrelo where permitted under these Terms;
• be saved or otherwise recorded by other persons;
• appear in screenshots, recordings, or other copies made by third parties; and
• continue to exist in copies outside Vatrelo's control even after the Member Card is removed from the Creator's Vatrelo.

The Member acknowledges that Vatrelo cannot control what third parties do with publicly available content after it has been displayed.

6. Creator Rights and Promotional Activity

Creators are free to promote Vatrelo and their Vatrelo through their own social media accounts and other lawful promotional channels.

Creators may, at their sole discretion, view, react to, share, screen-record, comment on, or otherwise promote Member Cards.

A Creator's decision to interact with one Member Card does not create an obligation to interact with any other Member Card.

Creators are not required to provide any reaction, repost, Story, comment, mention, tag, endorsement, private interaction (chat or call), or other promotional activity to any Member.

Members acknowledge that Creator activity outside the Vatrelo is voluntary and is not part of the Membership purchased through Vatrelo.

7. Account Registration and Eligibility

Creators must register and authenticate exclusively through their Instagram account, and must provide any additional information required by Vatrelo or its payment processor.

Members must provide the information required at checkout, including a valid payment method for recurring billing, and may need to create an account to manage their membership.

You must be at least 18 years old to use the Service, whether as a Member or Creator.

Minors may not use Vatrelo, create accounts, purchase Memberships, purchase Add-On Services, or appear on a Member Card.

Users are responsible for maintaining the confidentiality of their account credentials and for activity conducted through their accounts.

Creators may request deletion of their accounts at any time. See Section 19 for the process and effect of Creator account deletion, including the wind-down of existing Memberships, and for any applicable legal, payment, dispute, or other obligations that survive account deletion.

Deletion of a Creator account does not create a right to a refund for Memberships or Add-On Services already purchased or completed before the account was deleted.

8. Member Obligations

By purchasing a Membership or Add-On Service, the Member agrees to:

• provide accurate information required for the purchase and for the Member Card;
• submit only an avatar, username, and social media links that the Member has the legal right to submit and publicly display;
• ensure that the Member Card and any Boost status update comply with these Terms and all applicable laws;
• ensure that any person appearing in the avatar or referenced in a Boost status update has given any consent or permission required for its public display;
• not submit content involving minors;
• not submit sexually explicit, pornographic, abusive, threatening, violent, hateful, discriminatory, illegal, or otherwise prohibited content;
• not submit another person's private or confidential information without appropriate permission;
• not infringe another person's copyright, trademark, privacy, publicity, or other rights;
• not use stolen or fraudulent payment methods;
• not attempt to manipulate, abuse, or circumvent the Platform's payment, billing, refund, or reporting systems, including the Featured Spot purchase and queue mechanic; and
• not use the Service for unlawful, fraudulent, abusive, or deceptive purposes.

The Member is solely responsible for their Member Card and Boost status updates and for ensuring that the Member has all rights and permissions necessary for their use on Vatrelo and for the uses expressly permitted under these Terms.

9. Creator Obligations and Moderation

Creators are responsible for monitoring their Vatrelo and reviewing Member Cards displayed on it.

Vatrelo does not guarantee that every Member Card will be reviewed by Vatrelo before it appears on a Creator's Vatrelo.

Because a Member Card is placed automatically after successful payment, a Member Card may become publicly visible before the Creator reviews it.

Creators have access to reporting functionality through the Platform and may report Member Cards or Boost status updates that violate these Terms or applicable law.

When a Creator reports a Member Card or status update for a violation, Vatrelo may remove it and process a refund in accordance with Section 13.

Creators must not knowingly use the Platform to facilitate unlawful, fraudulent, abusive, or prohibited content.

Creators are responsible for complying with all applicable laws and regulations relating to their use of the Platform, including any laws applicable to referral programs described in Section 11.

10. Pricing, Creator Share, and Platform Fee

Each Creator's Membership price is set by Vatrelo at $20 per billing period unless otherwise stated at checkout. Creators may not independently set a different base membership price except where Vatrelo expressly enables this.

Buyers pay the price displayed for the applicable Membership, Boost, or Featured Spot at the time of purchase.

For each Membership, Boost, and Featured Spot purchase:

• 70% of the purchase price is allocated to the Creator as the Creator Share; and
• 30% of the purchase price is retained by Vatrelo as the Platform Fee.

The Creator Share is the Creator's contractual allocation from the applicable purchase price. The Platform Fee is Vatrelo's economic entitlement from the applicable transaction.

Vatrelo does not retain the Creator Share as revenue, fee, or compensation belonging to Vatrelo. The Creator Share is allocated to the Creator and is separate from Vatrelo's 30% Platform Fee.

The Creator Share may be subject to payment-processing arrangements, reserves, chargebacks, withholding, verification requirements, refunds, or other adjustments applicable to the Creator's payout account.

Vatrelo's Platform Fee is separate from payment-processing costs incurred by Vatrelo in operating the transaction.

All prices are displayed and charged in USD unless otherwise stated at checkout.

11. Add-On Services

Boost ($10 per billing period)

A Member may choose to add Boost to their Member Card at checkout, at the same time the Member purchases the underlying Membership, for an additional recurring fee of $10. Boost is not offered as an add-on after the initial Membership checkout has been completed.

Boost provides: (a) a visually distinct card color/styling, and (b) the ability to post an unlimited number of status updates beneath the Member Card.

Boost status updates must comply with these Terms and applicable law. Vatrelo and the Creator may remove or refuse to display a status update that violates these Terms or applicable law.

Boost is billed and renews on the same recurring basis as the underlying Membership, and ends automatically if the underlying Membership ends.

Featured Spot

A Creator's Vatrelo has three identical Featured Spots displayed above the main list. Each Featured Spot may be purchased by any Member for a flat fee of $50, regardless of which of the three Featured Spots the Member is ultimately placed in.

When a Member purchases a Featured Spot, the Member is placed in a queue together with any other Members who have purchased a Featured Spot on that Creator's Vatrelo and are awaiting placement or re-placement.

A Member occupying a Featured Spot is displayed there for a 12-hour period ("Display Period"). When a Member's Display Period ends:

• if another Member is waiting in the queue for that Creator's Vatrelo, that Member automatically takes over the Featured Spot for the next 12-hour Display Period, in the order in which Members joined the queue; or
• if no other Member is waiting in the queue, the current Member's Member Card remains in the Featured Spot for a further 12-hour Display Period, and this continues to repeat until another Member purchases a Featured Spot and joins the queue.

Vatrelo does not guarantee how long a Member will wait in the queue before receiving a Featured Spot, or that a Featured Spot will remain available at any given time.

Creator Eligibility for Featured Spots

The Featured Spot feature is not available on a Creator's Vatrelo until the Creator satisfies Vatrelo's referral eligibility criteria, which currently require the Creator to refer three other Creators to the Platform, each of whom must complete at least ten Membership sales on their own Vatrelo.

Vatrelo may modify, suspend, or discontinue the referral eligibility criteria, the Featured Spot feature, or the number of available Featured Spots at any time.

Revenue Share for Add-On Services

Boost and Featured Spot purchases are shared between the Creator and Vatrelo on the same 70% Creator Share / 30% Platform Fee basis described in Section 10, unless otherwise stated at checkout.

Duration

Boost remains active for as long as the underlying Membership and the Boost subscription remain active and paid.

A Featured Spot purchase entitles the purchasing Member to one 12-hour Display Period in the queue rotation described above. A Member wishing to appear in a Featured Spot again after their Display Period ends must make a new $50 purchase and rejoin the queue.

12. Creator Payouts

Creator payouts are processed through Stripe Connect or another payment processor used by Vatrelo.

Subject to successful payment, applicable verification requirements, and the absence of a refund, chargeback, reserve, or other restriction, the Creator is entitled to the Creator Share equal to 70% of the applicable Membership, Boost, or Featured Spot purchase price for each billing period or transaction.

Vatrelo retains the remaining 30% as its Platform Fee.

If a Membership, Boost, or Featured Spot charge is subsequently refunded in accordance with these Terms, the Creator Share and Vatrelo Platform Fee associated with that charge may both be reversed in proportion to the original allocation.

Accordingly, for a full refund of a charge:

• the Creator's 70% allocation is reversed from the Creator's funds, payout balance, or other amounts available for reversal, as applicable; and
• Vatrelo's 30% Platform Fee is reversed by Vatrelo.

The Member therefore receives the applicable full refund of the purchase price, subject to the refund provisions of Section 13 and applicable law.

Creator payouts may be subject to Stripe's identity verification requirements, payout schedules, reserves, delays, holds, restrictions, or other payment-processing rules.

Vatrelo is not responsible for delays or failures in payouts caused by Stripe or another third-party payment processor.

Creators are responsible for maintaining accurate and active payout information.

13. Billing, Cancellation, Refunds, and Content Removal

Recurring Billing

The Membership and Boost are recurring subscription services that automatically renew each billing period (monthly, unless otherwise stated) until cancelled by the Member.

Vatrelo will charge the Member's payment method on file at the start of each new billing period unless the Member cancels before that date.

Cancellation

A Member may cancel their Membership or Boost at any time through the Platform. Cancellation takes effect at the end of the current billing period. The Member Card (and, if applicable, Boost status) will remain displayed for the remainder of the period already paid for.

Members do not receive a partial refund for the unused portion of a billing period upon cancellation, except where required by applicable law.

No Refund for Dissatisfaction with Results

Because the Membership and Add-On Services are delivered automatically upon successful payment, a Member generally does not have a right to a refund for a billing period that has already been delivered.

To the maximum extent permitted by applicable law, refunds will not be issued merely because the Member:

• changes their mind;
• no longer wants the placement;
• dislikes the Creator or the Creator's Vatrelo;
• receives fewer profile visits, followers, or other engagement than expected;
• does not receive a reaction, shoutout, private interaction, or other engagement from the Creator;
• does not obtain a Featured Spot, or their Display Period in a Featured Spot ends and no further Display Period is available at that time; or
• is otherwise dissatisfied with results that were not guaranteed as part of the Membership or Add-On Service.

Nothing in these Terms is intended to exclude or limit any consumer rights, cancellation rights, refund rights, or other protections that cannot legally be excluded or limited under applicable law.

Refund for Prohibited or Improper Content

A refund may be issued when a Member Card or Boost status update is reported and Vatrelo determines that it violates these Terms or applicable law.

When Vatrelo makes such a determination, Vatrelo may remove the Member Card or status update and issue a full or pro-rata refund of the applicable charge, as Vatrelo determines appropriate.

For a full refund of a charge:

• the Creator's 70% Share is reversed; and
• Vatrelo's 30% Platform Fee is reversed.

Vatrelo may also issue refunds in other circumstances where required by applicable law or where Vatrelo determines, in its reasonable discretion, that a refund is appropriate.

Vatrelo may remove prohibited content, suspend accounts, restrict access, or take other appropriate action without creating a general obligation to refund completed billing periods.

14. Prohibited Content and Conduct

The following content and conduct are strictly prohibited on Vatrelo:

• sexually explicit or pornographic content;
• nudity or sexually exploitative content;
• any Member Card, avatar, or status update involving a minor;
• content depicting or promoting violence or illegal activity;
• content promoting or encouraging self-harm;
• hate speech or discriminatory content targeting protected characteristics;
• harassment, threats, stalking, or abusive conduct;
• content that unlawfully exposes another person's private information;
• content that infringes intellectual property, privacy, publicity, or other rights;
• fraudulent or deceptive content, avatars, usernames, or linked profiles intended to impersonate another person or mislead users;
• stolen payment methods or payment fraud;
• fraudulent or duplicate accounts;
• attempts to manipulate the Featured Spot purchase or queue mechanic, Member Card placement, purchases, refunds, referral eligibility criteria, or other Platform functionality;
• malware, malicious code, or content intended to interfere with the Platform; and
• any other content or conduct that violates applicable law.

Vatrelo may remove prohibited content, suspend or terminate accounts, deny access to the Service, reverse transactions where appropriate, and take other action reasonably necessary to protect the Platform, its users, Creators, or third parties.

15. Intellectual Property

All Vatrelo branding, trademarks, logos, designs, software, technology, user interface elements, and other Platform materials are owned by or licensed to Nissus LLC and may not be copied, reproduced, modified, distributed, or used without appropriate authorization.

Nothing in these Terms transfers ownership of Vatrelo's intellectual property to any user.

16. License to Member Content

The Member retains ownership of the Member's avatar, username, linked social profile information, and Boost status updates ("Member Content"), subject to the rights and licenses granted under these Terms.

By submitting Member Content to Vatrelo, the Member grants Vatrelo and the applicable Creator a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, publicly perform, transmit, distribute, share, repost, and otherwise use the Member Content as reasonably necessary to operate, provide, promote, and administer the Service.

This license includes the right of Vatrelo and the applicable Creator to share, repost, display, publish, or otherwise use the Member Content on Vatrelo, the Creator's social media accounts, Vatrelo's social media accounts, websites, promotional channels, and other lawful channels associated with the Platform or Creator.

The Member grants Vatrelo and the applicable Creator permission to display the Member's submitted social media links and to direct viewers to those linked profiles.

The Member will not receive additional payment or royalties from Vatrelo or the Creator for such display, sharing, reposting, or promotional use.

Nothing in these Terms requires Vatrelo or a Creator to share, repost, promote, or otherwise use any Member Content beyond providing the purchased Membership or Add-On Service.

The license granted to Vatrelo and the Creator continues for as long as reasonably necessary to operate the Service, comply with legal obligations, resolve disputes, maintain records, or exercise rights expressly granted under these Terms.

17. Rights and Permissions Concerning Other People

If Member Content contains another identifiable person, the Member represents and warrants that the Member has obtained all permissions, consents, releases, or other rights required to submit, publicly display, share, repost, and otherwise use that content through Vatrelo and through any Creator or Vatrelo promotional channels permitted under these Terms.

The Member is solely responsible for any claim made by another person arising from the Member's failure to obtain the necessary permissions.

18. Content and Display Period

A Member Card is intended to remain publicly displayed on the applicable Creator's Vatrelo for as long as the underlying Membership remains active and paid.

A Boost status update is intended to remain displayed beneath the Member Card until the Member posts a new status update, or until the Boost subscription or underlying Membership ends, whichever occurs first.

A Featured Spot is held for the applicable 12-hour Display Period described in Section 11, after which it rotates to the next Member in the queue, or is retained by the same Member if the queue is empty, as described in Section 11.

A Member Card, Boost status update, or Featured Spot may be removed before the end of its normal display period if:

• the Creator reports it for a violation of these Terms;
• Vatrelo determines that it violates these Terms or applicable law;
• Vatrelo is required to remove it by law or legal process;
• the Platform is required to remove or restrict the content for security, technical, or operational reasons;
• the underlying Membership lapses due to non-payment or cancellation; or
• another circumstance described in these Terms requires removal.

Except where a refund is expressly provided under Section 13, early removal does not automatically create a refund obligation.

Removal of Member Content does not necessarily require Vatrelo or a Creator to remove copies, reposts, screenshots, recordings, or other lawful uses that may have occurred while the content was publicly available.

19. Creator Account Deletion

A Creator may request deletion of their Vatrelo account at any time.

Upon a deletion request, the Creator's Vatrelo is immediately closed to new business: no new Member may purchase a Membership, Boost, or Featured Spot on it, and the Creator will not receive any new Members or new payments from new Members.

Members who already hold an active Membership on that Creator's Vatrelo at the time of the deletion request will continue to be billed and will retain their Member Card and any active Add-On Service until the end of their then-current billing period(s), as described in Section 13.

The Creator's account remains active, and the Creator continues to receive the applicable Creator Share from those existing Members' subscriptions, until the last remaining active Member's Membership expires or is cancelled. At that point, the Creator's account and Vatrelo profile are fully deactivated.

Deleting a Creator account does not automatically create refunds for previously purchased Memberships or Add-On Services.

Deletion of a Creator account does not automatically invalidate transactions completed before or during the wind-down period described above, or create a refund obligation for those transactions, except where required by applicable law or expressly provided under these Terms.

20. Limitation of Liability

Vatrelo acts as an online marketplace, technology platform, and payment-processing intermediary connecting independent Creators and Members.

Vatrelo does not control:

• whether a Creator views a Member Card;
• whether a Creator reacts to, shares, or reposts a Member Card;
• the content or nature of any Creator's reaction or social media activity;
• the number of profile visits, followers, or other engagement generated by a Member Card; or
• how third parties interact with publicly available content.

Vatrelo does not guarantee any particular number of profile visits, followers, engagement, reactions, reposts, mentions, Featured Spot availability, or promotional results from purchasing a Membership or Add-On Service.

Vatrelo is not responsible for the conduct of Creators, Members, or third parties.

Vatrelo is not responsible for delays, errors, interruptions, or failures caused by Stripe, hosting providers, social media platforms, internet service providers, or other third-party services.

To the maximum extent permitted by applicable law, Nissus LLC's total liability arising out of or relating to a particular Membership, Add-On Service, or use of the Service shall not exceed the amount of the Platform Fee actually retained by Vatrelo from the relevant transaction(s) in the three months preceding the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

21. Indemnification

You agree to indemnify, defend, and hold harmless Nissus LLC, Vatrelo, and their officers, employees, contractors, and agents from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising out of or related to:

(a) your use of the Service; (b) any content you submit, create, or share, including any Member Card, avatar, username, linked social profile, or Boost status update; (c) your violation of these Terms; (d) your violation of any applicable law; or (e) your violation of another person's rights, including intellectual property, privacy, publicity, or other rights.

22. Disclaimer of Warranties

The Service is provided "as is" and "as available" to the maximum extent permitted by law.

Vatrelo makes no warranties, express or implied, regarding the availability, reliability, accuracy, or uninterrupted operation of the Service.

Vatrelo does not warrant that:

• the Service will always be available;
• every Member Card or Boost status update will be reviewed before becoming public;
• a Creator will view or interact with a Member Card;
• a Member Card will receive any particular number of profile visits or engagement;
• a Creator will share or promote a Member Card;
• a Member will obtain or retain a Featured Spot;
• a Membership or Add-On Service will result in followers, customers, publicity, or other benefits; or
• the Service will be free from errors, interruptions, or technical problems.

23. Account Suspension or Termination

Vatrelo may suspend or terminate an account, remove content, restrict access, or take other appropriate action if Vatrelo determines that a user has:

• violated these Terms;
• engaged in fraudulent or deceptive activity;
• abused the billing, refund, or Featured Spot system;
• submitted prohibited content;
• infringed another person's rights;
• engaged in conduct harmful to the Platform or other users; or
• violated applicable law.

Vatrelo may take such action with or without prior notice where reasonably necessary.

Users may stop using the Service at any time.

Termination or account deletion does not eliminate obligations that by their nature should survive termination, including provisions concerning intellectual property, content licenses, indemnification, limitation of liability, dispute resolution, and applicable payment obligations.

24. Privacy and Data Processing

Your use of the Service is also governed by Vatrelo's Privacy Policy, which describes how Vatrelo collects, uses, stores, and protects personal information.

By using the Service, you acknowledge that operating the Platform requires Vatrelo to process information associated with your account, purchases, recurring payments, submitted content, and use of the Service.

Because Member Cards are intentionally public, information contained within a Member Card (including linked social profiles) may be visible to other users and members of the public.

25. Force Majeure

Vatrelo is not liable for failure or delay in performing its obligations resulting from circumstances beyond its reasonable control, including internet or hosting outages, failures of third-party services, payment processor failures, cyber incidents, natural disasters, governmental actions, war, labor disruptions, or other events of force majeure.

26. Third-Party Services

Vatrelo uses third-party services, including Stripe, Inc., for payment processing and potentially other third-party infrastructure and technology providers.

Use of third-party services may be subject to those providers' separate terms, policies, and requirements.

Vatrelo is not responsible for the acts or omissions of third-party service providers.

27. Changes to These Terms

Vatrelo may update these Terms from time to time.

If material changes are made, Vatrelo may provide notice through the Platform, by email, or through another reasonable method.

Your continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

28. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.

Informal Resolution

Before initiating formal proceedings, you agree to first contact Vatrelo at contact@vatrelo.com and provide a reasonable description of the dispute.

The parties will attempt in good faith to resolve the dispute informally for 30 days.

Binding Individual Arbitration

If the dispute cannot be resolved informally within 30 days, the dispute shall be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA") under the applicable AAA rules, except where applicable law provides otherwise.

The arbitration shall be conducted on an individual basis.

To the maximum extent permitted by law, neither you nor Vatrelo may participate in a class action, class arbitration, collective action, or representative proceeding involving claims covered by this arbitration provision.

Either party may bring an individual claim in small claims court where permitted by applicable law and the applicable court's jurisdictional requirements.

Nothing in this section prevents either party from seeking temporary or injunctive relief where permitted by law to protect intellectual property, confidential information, Platform security, or other rights that require immediate protection.

If any portion of this arbitration provision is found unenforceable, the remaining portions shall remain in effect to the maximum extent permitted by law.

Nothing in this section is intended to deprive a consumer of any non-waivable rights or protections provided by applicable law.
